A Simple Procedures for Filing of Company’s Annual Returns in Nigeria.

In this blog, we explained the procedures for filing of Annual Returns for existing Business Name/ Enterprises and/ or Incorporated companies in Nigeria. The procedures and steps for Business Name/ Enterprises and Incorporated companies are similar but for the purpose of clarity, we explained the procedures for the two categories (Business Name/ Enterprises and Incorporated companies) separately:

 

For Business/ Company Registration in Nigeria

 

It is mandatory for every registered business to file their annual returns with the Corporate Affairs Commission not later than 30th June every year except the calendar year in which the business name is registered does not end by December. This is the only way of informing the Commission that your company is still a going concern. If you don’t file your annual returns over a long period, the Commission can strike off your business name or company from the Register of companies. Also, the Commission may not grant the request for due diligence from Banks in respect of your application for opening of bank account or bank loans. The filing fee is relatively cheap but if you don’t file your annual returns within the stipulated period, you will not only pay the filing fee, you will pay additional fee as penalty which is higher than the filing fee.

 

For Business company Filing Services in Nigeria

 

Requirements for Filing of Company’s Annual Returns

  • A copy of Company’s CAC Certificate
  • A copy of Company’s CAC Form 2 and Form 7.
  • Original copy of Statement of Affairs or Audited Account as the case may be
  • CAC Form 10 (Download it, Print and Fill accordingly)
  • Go for assessment to CAC. One year official fee is N2,000.
    Note: where your company or firm have not paid for several years, this will be calculated for you and the penalty.
  • Make payments online and print your receipt.
  • Submit your application and get your Annual Returns document for the year(s) paid from CAC.

 

Annual Returns filing For Enterprises & Companies in Nigeria

  1.  Download CAC Form 10 online
  2. Print and Fill accordingly
    Note: The annual return shall be signed by the proprietors, and where a company is a proprietor.
    For companies, the annual return shall be signed by the a director and secretary of the company
  3. Go for assessment to CAC. One year official fee is N2,000.
    Note: where your company or firm have not paid for several years, this will be calculated for you and the penalty.
  4. Make payments online and print your receipt.
  5. Submit the application
  6. Get your Annual Returns document for the year(s) paid from CAC
